Ladbrokes Coral to maintain independent trading teams, marketing efforts
Further light has been shed on the announced mega-merger of UK betting operators Ladbrokes and Gala Coral Group.
The combined Ladbrokes Coral entity expects to generate around 20% of its estimated annual revenue of £2.3b from digital operations. Both companies are very UK-focused, and international operations (both online and retail) will initially account for only around 11% of total revenue.
Ladbrokes CEO Jim Mullen will serve as CEO of the merged Ladbrokes Coral. Current Gala Coral CEO Carl Leaver will serve as executive deputy chairman for a 12-month period. Leaver’s primary responsibility in the coming months will be to realize synergies from the merger. Leaver expects these will total around £65m, most of that coming in the second year following the merger, which the companies expect to conclude mid-2016.
The two firms plan to pool digital innovation teams in order to strengthen their product pipeline. However, the firms intend to maintain two trading teams, sharing a common algorithmic platform and risk management but allowing for independent pricing of events and offers.

NFL, DOJ past argument shows sports betting to be a “game of skill”
According to documents discovered by ESPN through searches of public records, U.S. Attorney General Loretta Lynch and NFL lawyers have called sports betting a “game of skill” in past legal arguments.
In 2003, the NFL was among several groups attempting to prevent the state of Delaware from reintroducing a football-based lottery game. The NFL hired the law firm of Covington & Burlington to argue against allowing such bets, characterizing the football-based lottery as a predominately skill-based game, and therefore would be barred by the state’s own constitution.
“Sports betting combines both skill and chance, but the element of chance, though perhaps significant, is not ‘dominant,’” the Covington & Burlington lawyers wrote in a 2003 memo to the Delaware legislature. “Typical sports bettors gather and analyze information, sometimes in significant quantities, about the nuances of the sports on which they bet…they then weight the probabilities of each team winning and compare their determinations to those of the odds-maker.”
A similar argument was made by Lynch in the United States v. DiCristina in 2013, explaining how certain sports bettors move betting lines, a technique similar to bluffing in poker.

Ladbrokes agrees to a £2.3b merger with Gala Coral
Ladbrokes has agreed to buy Coral Group in a £2.3b a share-exchange deal, creating the biggest bookie in Britain by betting shops.
The combined business, which will be listed on the stock exchange as Ladbrokes Coral Plc., creates a company with £2.1b annual net revenue.
Ladbrokes said that it’s placing 93m shares representing 10% its share capital to help fund the deal and slashing its dividend to 3p per share to shore up its finances.
Ladbrokes will have 51.75% of the enlarged company and will issue new shares to the private-equity owners of Gala Coral Group, including Anchorage Capital Partners and Apollo Global Management representing 48.25%.
